Use of Services

Content Requirements
Clients must:

- Respond to communications within agreed timeframes
- Grant necessary access to websites, ecommerce platforms, and analytics tools
- Comply with all applicable laws and regulations
- Pay fees as per the agreed payment schedule
Intellectual Property
Company Property
All materials, methodologies, strategies, and proprietary tools developed by eComSkit remain our exclusive property.
Client Property
Clients retain ownership of their existing content, websites, product catalogs, and materials provided to us.
Confidentiality
We maintain strict confidentiality of all client information. Details are outlined in our separate confidentiality agreement.
Payment Terms
Fees
- Fees are as specified in individual service agreements
- All prices are subject to change with 30 days notice
- Additional services will be billed separately
Payment Schedule
- Invoices are issued monthly or as per service agreement
- Payment is due within 30 days of invoice date
- Late payments may incur additional charges
Termination
By Client
Clients may terminate services with 30 days written notice, subject to payment for services rendered.
By Company
We reserve the right to terminate services for:
- Non-payment
- Breach of terms
- Unethical or illegal activities
- False or misleading information
Limitation of Liability
Service Guarantees
While we strive for excellence, we cannot guarantee specific search rankings, traffic levels, or sales results due to the dynamic nature of search engines and ecommerce markets.
Liability Cap
Our liability is limited to the amount paid for services in the previous 12 months.
Indemnification
Clients agree to indemnify eComSkit against claims arising from:
- Client-provided content
- Product listings and store data
- Breach of terms
- Violation of third-party rights
Privacy Policy

Modifications
We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website.
Governing Law
These terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of Southampton, United Kingdom. Both parties submit to the exclusive jurisdiction of these courts.

Severability
